Introduction
These Terms & Conditions (“T&Cs”) govern the use of the website located at (https://dontcopybecopied.com) (the “Website”) and the services offered by Don’t Copy, Be Copied – DCBC (hereafter “DCBC”, “we”, “us”, “our”). By accessing or using our Website and/or engaging our services, you (“Client”, “you”, “your”) agree to these T&Cs. If you do not agree, do not use the Website or engage our services.
Services
DCBC provides creative studio services including but not limited to: 2D & 3D animation, visual effects (VFX), video editing, motion graphics, website design, app development, branding, SEO, voiceovers, music & SFX. You agree that any project scope, deliverables, timelines, and fees will be agreed in a separate written “Statement of Work” (SOW) or quote.
We reserve the right to modify or discontinue (temporarily or permanently) any service with or without notice.
Quotes, Payment & Fees
- All quotes provided by DCBC are valid for a specified period (30 days) and are subject to change after that.
- Unless stated otherwise, fees are exclusive of taxes (GST etc). You are responsible for applicable taxes.
- Unless agreed otherwise, a deposit (e.g., 50%) is required before project commencement; remainder is payable on the milestone or on completion.
- If you fail to pay any amount when due, DCBC may suspend work or withhold deliverables until payment is cleared. You may also be liable for interest or recovery costs.
- Additional work outside the agreed scope will incur extra fees (change orders). You must approve any additional work and associated fee in writing.
Client Responsibilities
You must provide accurate, timely, and complete information, materials, feedback and approvals as required for DCBC to perform the services. Delays caused by you may result in delay of deliverables and additional fees.
You also guarantee that any content you supply (text, images, logos, audio) to DCBC is owned by you (or you have right to use it) and does not infringe third-party rights or laws.
Intellectual Property Rights
- Unless otherwise agreed in writing, DCBC retains ownership of all intellectual property (IP) rights in drafts, concepts, raw files, tools, templates, or proprietary workflows used in the project. Upon final payment, DCBC grants you a non-exclusive, worldwide, perpetual license to use the delivered final materials (e.g., animations, videos, website) for the purposes agreed in the SOW.
- You do not acquire rights in the underlying tools, techniques, or proprietary assets of DCBC.
- You agree not to reproduce, resell, redistribute or otherwise exploit the deliverables beyond the scope of the license without DCBC’s prior written consent.
- If you supply third-party materials, you remain responsible for all rights therein.
Revisions & Approval
The SOW will specify number of revision rounds. Additional revisions beyond that may incur extra costs. After your final approval of deliverables, DCBC is released from further liability or obligation concerning those deliverables.
Delivery, Timeline & Delay
- DCBC will make its best efforts to meet timelines specified in the SOW. However, timelines are estimates and subject to change based on your input, unforeseen issues, or changes in scope.
- DCBC is not liable for any delays caused by you, third parties, or beyond its reasonable control (force majeure).
- Upon completion, deliverables will be uploaded or delivered via agreed method. You must review them within [3 days]. Failure to raise any issues within that period constitutes your acceptance.
Cancellation & Termination
- You may terminate the project by providing written notice; however: (a) you remain liable for fees for work done up to termination and (b) any non-refundable deposit remains paid.
- DCBC may terminate or suspend a project (or your access to our Website) if you breach these T&Cs, fail to pay, provide material inaccurate information, or supply infringing content.
- Upon termination, you will return or destroy any DCBC confidential materials if requested.
Warranties & Disclaimer
- You warrant that you have the right to engage DCBC, supply materials, and that your use of deliverables will not infringe any third-party rights or violate laws.
- DCBC warrants that it will perform services in a professional manner consistent with industry standards.
- Except as expressly set out, DCBC gives no other warranties — express or implied (including fitness for a particular purpose, non-infringement).
- DCBC cannot guarantee uninterrupted access to the Website or that the services or deliverables will be error-free or meet your exact expectations.
Limitation of Liability
- To the fullest extent permitted by law, DCBC’s total liability under or in connection with these T&Cs and the project will not exceed the total fees paid by you for the specific service giving rise to liability.
- Under no circumstances will DCBC be liable for any indirect, special, consequential, incidental or punitive damages (including lost profits, loss of data, business interruption) even if advised of such possibility.
Privacy & Data Protection
Your use of the Website and our services is subject to our Privacy Policy. We will handle any personal data in compliance with applicable Indian data protection laws and our stated Policy.
Changes to Terms
We may update these T&Cs from time to time. Updated version will be posted on the Website with modification date. Your continued use of our Website or services after updates constitutes acceptance of the new T&Cs.
Governing Law & Jurisdiction
These T&Cs are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts in Haryana (or specify Gurgaon/Gurugram) unless otherwise agreed in writing.
Miscellaneous
- If any provision of these T&Cs is held invalid or unenforceable, the remainder continues unaffected.
- The parties are independent contractors; nothing in these T&Cs makes a joint venture, employment or agency relationship.
- Headings are for convenience and do not affect interpretation.
- You cannot assign your rights or obligations under these T&Cs without DCBC’s prior written consent.
